Decisions of Neova Oy’s Annual General Meeting

In accordance with the proposal of the Board of Directors, the Annual General Meeting decided that a dividend of EUR 2,000 per share, ie a total of EUR 60,000,000, be paid for the financial period 1 January to 31 December 2021.

Board of Directors, Supervisory Board and Auditors

The Annual General Meeting decided that Stefan Damlin, Tuomas Hyyryläinen, Kirsi Puntila, Panu Routila and Markus Tykkyläinen will continue as members of Neova Oy’s Board of Directors. Eeva-Liisa Virkkunen and Jari-Pekka Punkari were elected as new members of the Board.

The Chairman of the Board is Panu Routila and the Deputy Chairman is Markus Tykkyläinen.

The Annual General Meeting decided that Antti Häkkänen, Heikki Miilumäki, Eero Kubin, Esko Kurvinen, Mauri Peltokangas, Jenni Pitko, Piritta Rantanen and Juha Sipilä will continue as members of the Supervisory Board. Harri Hietala and Mikael Venäläinen were elected as new members of the Supervisory Board.

Juha Sipilä will continue as Chairman of the Supervisory Board and Heikki Miilumäki as Deputy Chairman.

An audit firm was elected as the auditor

The audit firm PricewaterhouseCoopers Oy was elected as auditor, with Panu Vänskä, Authorised Public Accountant, appointed as the principal auditor.

The Annual General Meeting confirmed the monthly remuneration of the Chairman of the Board at EUR 2,750, the monthly remuneration of the Deputy Chairman at EUR 1,900 and the monthly remuneration of the member at EUR 1,550. The meeting fee for the chairman and members was set at EUR 500 per meeting.

The Annual General Meeting approved the meeting fee of the Chairman of the Supervisory Board at EUR 800, the meeting fee of the Deputy Chairman at EUR 600 and the meeting fee of the members at EUR 500 per meeting. It was decided to pay the auditor’s fee according to a reasonable invoice.

Establishment of the Shareholders’ Nomination Board

It was decided to establish a shareholders ‘nomination committee and the rules of procedure of the shareholders’ nomination committee were confirmed. It was decided to elect Pekka Hurtola (Chairman) and Rami Vuola as members of the Shareholders’ Nomination Board. It was noted that no remuneration will be paid to the members of the Shareholders’ Nomination Board.

Donations

It was decided to donate EUR 100,000 to the University of Jyväskylä and to authorize the Board to donate EUR 10,000 to charitable purposes.

In addition, Neova Oy has previously donated EUR 50,000 to alleviate the humanitarian situation in Ukraine. The donation went to Unicef, which uses the funds to help children and families in Ukraine.
