Decisions of the Annual General Meeting of Neova Oy

The Annual General Meeting of Neova Oy held today, 26 March 2024, adopted the 2023 financial statements and discharged the members of the Supervisory Board, the members of the Board of Directors and the President and CEO from liability. The Annual General Meeting decided, in accordance with the board’s proposal, that a dividend of 134 euros per share will be distributed for the fiscal year 1 January to 31 December 2023, i.e. a total of 4,020,000 euros.

The board, supervisory board and auditors

The general meeting decided that the number of board members was confirmed at six (6). The general meeting decided that Stefan Damlin, Jari-Pekka Punkari, Kirsi Puntila, Panu Routila and Eeva-Liisa Virkkunen will continue as board members, and Dick Hordijk (CEO Agrifirm) was elected as a new member. Panu Routila is the chairman of the board and Eeva-Liisa Virkkunen is the vice-chairman.

The general meeting decided that Harri Hietala, Janne Jukkola, Antti Kangas, Jari Koskela, Eero Kubin, Esko Kurvinen, Janne Laine, Heikki Miilumäki, Piritta Rantanen and Eerikki Viljanen will continue as members of the supervisory board. Antti Kangas continues as chairman of the Supervisory Board and Heikki Miilumäki as vice chairman.

The auditing firm PricewaterhouseCoopers Oy was chosen as the auditor, which has announced KHT Panu Vänskä as the principal auditor.

The general meeting decided on the remuneration of the chairman of the board, the vice chairman of the board and the board members. The chairman’s monthly remuneration is EUR 2,750, the vice-chairman’s monthly remuneration is EUR 1,900 and the member’s monthly remuneration is EUR 1,750. A meeting fee of 600 euros is paid to each member of the board of directors for meetings, and in addition, board members who live elsewhere than in Finland are paid an additional meeting fee of 600 euros for attendance meetings held in Finland. The meeting fee is paid for the meetings of the board and its committees and working groups.

The general meeting confirmed the meeting fee of the chairman of the supervisory board at 800 euros, the meeting fee of the vice chairman at 600 euros and the meeting fee of the members at 500 euros per meeting.

It was decided to pay the auditor’s fee according to a reasonable invoice.

Shareholders’ Nomination Committee

It was decided to elect Pekka Hurtola (chairman) and Rami Vuola as members of the shareholders’ nomination committee. It was stated that no remuneration is paid to the members of the shareholders’ nomination committee.

Donations

It was decided that 10,000 euros will be set aside for public benefit donations, the use of which will be decided by Neova Oy’s board of directors.
